Documents prepared by Zamrud in the course of legal services remain subject to professional obligations and any applicable confidentiality terms agreed in your engagement letter.
6. Fees and Payment
Fees for Services are quoted in Malaysian Ringgit (RM) and confirmed in writing before work begins. The fees indicated on the Website represent starting prices and may vary depending on the complexity of your matter.
Payment methods, disbursements, and any applicable taxes will be set out in your engagement letter. We reserve the right to request a deposit or advance payment before commencing work.
Queries about fees or billing should be directed to [email protected].
7. Service Delivery Terms
The delivery of legal services depends on a number of factors including the complexity of the matter, the responsiveness of third parties (such as courts, land registries, and financial institutions), and the accuracy and timeliness of information provided by you.
Timelines provided at the outset are indicative. We will keep you informed of material changes and will seek your instructions where decisions are required. We are not liable for delays caused by circumstances outside our reasonable control.
Significant changes to the scope of a matter — including new issues arising mid-engagement — may affect the agreed fee, and we will discuss this with you before proceeding.
8. Disclaimers
The Website and its Content are provided on an "as is" basis. While we take care to keep information accurate, we make no representations or warranties — express or implied — as to the completeness, accuracy, or fitness for purpose of any Content.
Nothing on this Website constitutes legal advice. Legal outcomes depend on individual facts and circumstances and cannot be predicted with certainty. We will always advise you honestly about the prospects and risks of your matter.
We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or harmful components.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Zamrud shall not be liable for any indirect, incidental, consequential, or special loss arising from your use of the Website or engagement of our Services, including loss of data, loss of profit, or loss of opportunity.
Our total liability to you in connection with any matter shall not exceed the fees paid by you to Zamrud in connection with that specific matter, except where liability cannot lawfully be limited (for example, in cases of fraud or gross negligence).
Nothing in these terms limits or excludes liability that cannot be excluded under applicable Malaysian law.
10. Confidentiality
All information shared with us in the context of a legal engagement is treated as confidential. We will not disclose your information to third parties except where necessary for the delivery of your matter, required by law, or with your prior consent. Please refer to our Privacy Policy for full details of how we handle personal information.
11. Indemnification
You agree to indemnify and hold harmless Zamrud, its staff, and advisers from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Website in an unlawful manner, or any inaccurate or misleading information you have provided to us.
12. Termination of Engagement
Either party may terminate an engagement by providing reasonable written notice. Zamrud may also cease acting where required by professional conduct rules or where a conflict of interest arises.
Upon termination, fees are payable for work completed up to the date of termination. We will return your original documents and assist with an orderly handover to any replacement adviser you appoint.
Clauses relating to confidentiality, intellectual property, limitation of liability, and dispute resolution survive termination of these Terms.
13. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms or our Services shall first be referred to senior management of Zamrud for informal resolution.
If a matter cannot be resolved informally within 30 days, the parties agree to submit the dispute to the jurisdiction of the courts of Johor Bahru, Malaysia, without prejudice to either party's right to seek urgent injunctive or other equitable relief.
